1. Acceptance of terms
By creating an account, accessing, or using any Sagentic services, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, SMS & Messaging Policy, Cookie Policy, and Data Processing Agreement (collectively, the "Agreement"). If you do not agree to these Terms, do not use our services.
You represent that you have the legal authority to bind the business entity on whose behalf you are creating an account. If you are accepting on behalf of a company or organization, "Customer" refers to that entity.
2. Definitions
- "Sagentic," "we," "our," or "us" refers to Sagentic LLC, a Wyoming limited liability company.
- "Services" means the Sagentic platform, including AI voice agents, chat agents, review management, appointment booking, social media management, follow-up automation, knowledge base, and all related tools and APIs.
- "Customer Data" means all data, content, files, communications, and materials submitted to or processed through the Services by or on behalf of Customer.
- "End Users" means individuals who interact with Customer's AI agents, including callers, chat participants, and message recipients.
- "Authorized Users" means individuals whom Customer permits to access the platform under Customer's account.
3. Account registration and access
3.1 Account creation
To use the Services, you must create an account by providing accurate and complete business information, including business name, contact details, and authorized user credentials. You agree to keep this information current and accurate.
3.2 Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.
3.3 Eligibility
The Services are available only to businesses and individuals who are at least 18 years of age and can form legally binding contracts. The Services are not intended for personal, non-business use.
4. Description of services
Sagentic provides an AI-powered platform for small and medium-sized businesses that includes:
- AI voice agents for inbound and outbound call handling, with transcription and summarization.
- AI chat agents for website, SMS, and messaging-based customer interactions.
- Review monitoring, AI-assisted review response drafting, and reputation management.
- Appointment booking and calendar synchronization with Google Calendar and other providers.
- Social media content management and scheduling tools.
- Automated follow-up workflows for leads, appointments, and customer engagement.
- Knowledge base management for training AI agent behavior and responses.
We may modify, update, or discontinue features of the Services at any time. We will use reasonable efforts to provide advance notice of material changes that significantly reduce core functionality.
5. AI agent services and limitations
5.1 Nature of AI services
The Services use artificial intelligence and machine learning technologies, including large language models provided by third parties such as OpenAI, to generate responses, transcriptions, summaries, and other outputs. AI-generated content is produced algorithmically and may not always be accurate, complete, or appropriate.
5.2 No guarantee of accuracy
Sagentic does not guarantee the accuracy, reliability, completeness, or suitability of any AI-generated output. AI agents may produce errors, hallucinations, or responses that do not fully reflect your business policies, services, or intentions.
5.3 Human oversight recommended
You acknowledge that AI-generated outputs should be reviewed and validated by qualified personnel before being relied upon for business decisions, customer commitments, pricing, legal matters, medical guidance, or other consequential purposes. Sagentic strongly recommends maintaining human oversight of all AI agent interactions.
5.4 Customer responsibility
You are solely responsible for the configuration, training data, knowledge base content, and instructions you provide to your AI agents. You are responsible for ensuring that agent behavior and outputs comply with applicable laws, industry regulations, and your own business standards.
6. Subscription, billing, and payment
6.1 Subscription plans
Access to the Services requires an active paid subscription. The standard subscription plan is $397 per month. Additional plans, add-ons, or usage-based charges may be available as described on our pricing page or in a separate order form.
6.2 Payment processing
All payments are processed through Stripe. By subscribing, you authorize Sagentic to charge your designated payment method on a recurring monthly basis. You agree to provide valid, current payment information and to update it promptly if it changes.
6.3 Billing cycle and renewals
Subscriptions automatically renew each month on the anniversary of your initial subscription date unless cancelled before the next billing date. You will be charged at the beginning of each billing cycle.
6.4 Price changes
We may adjust subscription pricing with at least 30 days' advance written notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.
6.5 Refund policy
Subscription fees are generally non-refundable. If you cancel mid-cycle, you retain access to the Services through the end of the current billing period. Refunds may be issued at Sagentic's sole discretion in exceptional circumstances.
6.6 Failed payments and suspension
If a payment fails, we will attempt to collect using the payment method on file and may notify you of the failure. If payment is not resolved within 7 days, we may suspend or restrict access to your account until the balance is paid.
6.7 Taxes
All fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, VAT, or similar charges imposed by applicable taxing authorities.
7. Data usage and privacy
7.1 Customer data ownership
You retain all rights to your Customer Data. By using the Services, you grant Sagentic a limited, non-exclusive license to process, store, and transmit Customer Data solely to provide and improve the Services.
7.2 Data processing
Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement. Where you are the controller of end-user data, Sagentic acts as your processor and processes data only according to your instructions and the terms of the Agreement.
7.3 Data security
We implement commercially reasonable technical and organizational measures to protect Customer Data against unauthorized access, loss, or alteration. However, no system is completely secure, and we cannot guarantee absolute security.
7.4 AI model training
Sagentic may use aggregated, de-identified, or anonymized data derived from platform usage to improve our services, train models, and develop new features. We will not use identifiable Customer Data to train third-party AI models without your consent.
8. Intellectual property
8.1 Sagentic IP
Sagentic and its licensors retain all rights, title, and interest in and to the Services, including all software, technology, designs, trademarks, documentation, and other intellectual property. These Terms do not grant you any ownership rights in the Services.
8.2 Customer IP
You retain ownership of all Customer Data, branding, and content you provide to the platform. You grant Sagentic only the rights necessary to perform the Services.
8.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant Sagentic a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without obligation to you.
9. Use restrictions
In addition to the Acceptable Use Policy, you agree not to:
- Sublicense, resell, or redistribute the Services to third parties without written authorization.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
- Circumvent or disable any security, authentication, or access control mechanisms.
- Use the Services to develop a competing product or service.
- Exceed any usage limits, rate limits, or fair use thresholds applicable to your plan.
- Upload or transmit malicious code, viruses, or harmful materials.
- Use the Services in any manner that violates applicable law or regulation.
10. Third-party services and integrations
The Services integrate with third-party providers including OpenAI, Twilio, Google APIs, Stripe, and Cloudflare. Your use of these integrations may be subject to those providers' terms and policies. Sagentic is not responsible for the availability, accuracy, or conduct of third-party services.
You are responsible for obtaining and maintaining any necessary accounts, permissions, and consents required for third-party integrations you enable.
11. Limitation of liability
11.1 Cap on liability
To the maximum extent permitted by applicable law, Sagentic's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Sagentic during the twelve (12) months immediately preceding the event giving rise to the claim.
11.2 Exclusion of consequential damages
In no event shall Sagentic be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, regardless of the theory of liability and even if Sagentic has been advised of the possibility of such damages.
11.3 AI-specific limitations
Without limiting the foregoing, Sagentic shall not be liable for any damages arising from AI-generated content, including inaccurate responses, missed calls or messages, incorrect bookings, inappropriate agent behavior, or any reliance on AI outputs without human review.
12. Indemnification
You agree to indemnify, defend, and hold harmless Sagentic LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Customer Data or content; (c) your violation of these Terms or applicable law; (d) your AI agent configuration, outputs, or interactions with End Users; or (e) any dispute between you and your customers or End Users.
13. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SAGENTIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SAGENTIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. SAGENTIC DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT, TRANSCRIPTIONS, SUMMARIES, OR AGENT RESPONSES.
14. Termination
14.1 Termination by Customer
You may cancel your subscription at any time through the platform dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing period.
14.2 Termination by Sagentic
Sagentic may suspend or terminate your account immediately if you breach these Terms, the Acceptable Use Policy, or any applicable law. We may also terminate your account with 30 days' written notice for any reason or no reason.
14.3 Effect of termination
Upon termination: (a) your right to access the Services ceases immediately; (b) we will delete or return your Customer Data in accordance with our Data Processing Agreement; (c) any outstanding fees remain due and payable; (d) provisions that by their nature should survive termination (including Sections 8, 11, 12, 13, 15, and 16) will survive.
15. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming for any disputes arising out of or related to these Terms.
16. Dispute resolution
16.1 Informal resolution
Before initiating any formal proceedings, the parties agree to attempt to resolve disputes informally by contacting [email protected]. The parties will use good-faith efforts to resolve the dispute within 30 days of written notice.
16.2 Binding arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA) in Sheridan County, Wyoming. The arbitrator's decision shall be final and binding.
16.3 Class action waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.4 Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property rights, confidentiality obligations, or unauthorized access to the Services.
17. Modifications to terms
We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account or through a notice in the platform at least 15 days before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of those changes.
18. General provisions
- Entire Agreement. These Terms, together with the Privacy Policy, AUP, SMS Policy, Cookie Policy, and DPA, constitute the entire agreement between you and Sagentic regarding the Services.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver. Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign these Terms without our prior written consent. Sagentic may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Sagentic shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or third-party service outages.
- Notices. Notices to Sagentic must be sent to [email protected]. Notices to you will be sent to the email address on your account.
